TERMS AND CONDITIONS
Effective Upon Purchase
By completing your purchase, you ("Client") agree to the following Terms & Conditions ("Agreement") with Taelered Training LLC ("Company") for participation in the Coaching Program offered by Fitness Coach Academy. This Agreement is binding upon payment. A formal agreement will be sent via email for your records.
The purpose of this Agreement is to set forth the details of the Coaching Relationship so that Company and Client understand respective roles and communication standards. Agreement to these policies is implicit in the payment of Client for services from the Company and shall be objected to only in writing.
1. Program Commitment & Delivery
You understand and agree to a sixteen (16) week coaching commitment. Services will begin on the Effective Date and continue for the full term. Services include access to course modules, live coaching calls, chat support, templates, and other coaching deliverables as outlined at checkout and in Exhibit A.
2. Client Expectations
You agree to abide by the expectations set in our Client Code of Conduct (Exhibit B). These include, but are not limited to, participation, professionalism, and completion of deliverables.
3. Payment Terms & Refund Policy
You agree to the total Coaching Fee selected at checkout. This fee may be paid either as a one-time payment or through a payment plan, as displayed during purchase. By completing your purchase, you authorize the Company to charge your selected payment method according to the terms presented at checkout. You agree to keep a valid payment method on file and acknowledge that:
Missed or late payments may result in access being paused
Overdue balances will accrue a late fee of 1.5% monthly (or the highest rate allowed by law)
Accounts overdue by 14+ days may be referred to collections; all associated fees including attorney's fees and court costs are the Client's sole responsibility
The Company reserves the right to initiate legal proceedings to recover outstanding balances, including all related damages and legal fees
4. No Refund Policy
All payments are non-refundable. You are responsible for the full Coaching Fee regardless of participation or completion.
5. Termination
Client maintains the unilateral right to terminate access to any Coaching Materials. Termination shall not release the Client from any and all outstanding Coaching Fees. Client agrees that terminating this Agreement accelerates any and all outstanding balances of Coaching Fees to immediate payment. No prorated refunds or partial credits will be provided.
6. Confidentiality & Intellectual Property Protection
To the extent permitted by Title 17 of the United States Code, all Coaching Services, documents, emails, digital files, curriculum, training materials, templates, worksheets, and any other work created by the Company (collectively, the "Coaching Materials") are the exclusive joint property of Taelered Training LLC and Taeler De Haes individually.
Client shall not disclose to any third party any Confidential Information, including but not limited to: the Coaching Materials, coaching strategies, the name or price of Coaching Services, or the Company's historic, present, and future manner of operation or intellectual property. Client shall not make copies of any Confidential Information for personal use or distribution unless expressly requested by the Company.
You agree not to share, copy, distribute, or repurpose any coaching materials, curriculum, or trade secrets. Doing so will result in removal from the program and legal action if necessary. Violation of this clause results in penalty fees and, where applicable, additional litigation not limited to alternative dispute resolution.
Outside Use: Client may use the general coaching concepts, skills, and techniques that become part of Client's personal knowledge base through use of Company Services ("General Skills") for the development and operation of Client's own independent coaching business directly serving individual consumer clients ("Permitted Use"). Except for the Permitted Use, Client shall not use Confidential Information other than solely for the benefit of the Company.
7. Non-Solicitation
You agree that during the Term and for a period of three (3) months following the termination or expiration of this Agreement, you will not disrupt or interfere with the business of the Company by directly or indirectly soliciting, recruiting, attempting to recruit, or raiding the employees of the Company, or otherwise inducing the termination of employment of any employee of the Company. You also agree and covenant not to use any of the Company's trade secrets or confidential information to directly or indirectly compete with the Company in any manner or directly or indirectly solicit the employees of the Company.
8. Prohibition on Similar Businesses
Client shall not initiate, establish, operate, or participate in any fitness coaching, training, consulting, or similar type of business that offers services substantially similar to those provided by the Company. This prohibition includes but is not limited to offering coaching services, creating training programs, or utilizing business methods substantially similar to those offered by the Company.
9. Guarantee
You may qualify for a 30-day extended coaching period if you do not generate $5,000 in business revenue during the program. To be eligible, you must meet all of the following completion requirements:
(a) Submit all homework assignments on time via the designated check-in form;
(b) Attend all scheduled private strategy calls;
(c) Attend a minimum of one (1) live Office Hour per week throughout the program;
(d) Complete and submit the Sales KPI Tracker on a weekly basis via the designated check-in form; and
(e) Source a minimum of one hundred (100) leads per week, as documented and reflected in the Sales KPI Tracker.
The Client's failure to satisfy any one of the foregoing requirements shall render the Client ineligible to invoke this Guarantee. All submissions and attendance records shall be subject to the Company's review and verification. This guarantee does not apply if you are removed or voluntarily leave the program.
The Company has not and does not make any guarantees beyond the above as to any results, including financial growth, mental or physical health, or other personal gains. Client maintains sole responsibility for all Client results.
10. Waiver of Consumer Rights
Client agrees that the Company provides a guarantee in good faith as described in clause 9. By accepting this Agreement, you agree to the following:
"I waive my rights under the Deceptive Trade Practices-Consumer Protection Act, Section 17.41 et seq., Business & Commerce Code, a law that gives consumers special rights and protections. After consultation with an attorney of my own selection, I voluntarily consent to this waiver."
11. Client Acknowledgements
You acknowledge and agree that:
Results vary by individual
Coaching is a subjective service; the Company may give different information to each Client depending on their needs
The Company will use its judgment to create favorable experiences depending on each Client's unique circumstance
Dissatisfaction with delivery style or the Company's independent judgment are not valid grounds for a refund or termination of this Agreement
The Company is not providing legal, financial, medical, or psychological advice; you are solely responsible for your results and business outcomes
You are responsible for accurate business registration and legal compliance
12. Indemnification & Limitation of Liability
Client will indemnify, defend and hold harmless Company, its affiliates, employees, successors, assigns, officers and directors from and against any losses, damages, claims, fines, penalties and expenses (including reasonable attorneys' fees) that arise out of or result from Client's participation in the program, implementation of business advice, or any failure by Client to comply with applicable law.
Client agrees to hold Company harmless from any and all damages that may arise during the Coaching Commitment or thereafter. Company's business, personal, and financial advice, solutions, and suggestions are ultimately the Client's responsibility for consideration, implementation, and maintenance.
13. Legal & Liability
You agree to:
Indemnify the Company against any claims or damages
Not hold the Company liable for any business decisions or outcomes
Mediate and then arbitrate any disputes in the greater Dallas-Fort Worth, TX area, in accordance with the procedural rules of the American Arbitration Association
Be bound by the laws of the State of Texas
Bear responsibility for all costs associated with collections and legal fees incurred should enforcement of this Agreement become necessary
14. Privacy Policy
By enrolling, you consent to the storage and processing of your personal data as needed for program delivery, support, legal compliance, and brand protection. The Company may share Client information: (a) to comply with applicable laws or judicial/regulatory requests; (b) to exercise legal rights or defend against legal claims; (c) to investigate suspected fraudulent or unlawful activities; and/or (d) in situations involving potential threats to physical safety.
15. Additional Terms
Program content may not be shared or reproduced
This agreement is non-transferable without written consent of both parties
Notices will be sent to the email you provide at checkout
A signed version of this agreement may also be emailed to you for reference
Any modifications to this Agreement must be in writing, signed by both parties, and physically attached to the original agreement
In the event any part of this Agreement is found invalid or unenforceable, the remainder shall remain valid and enforceable
By submitting payment at checkout, you confirm that you have read, understood, and agreed to all terms and conditions outlined above and in the associated documents (Exhibits A & B). You agree to be legally bound by this Agreement in full.
EXHIBIT A — SERVICES / PRODUCTS PROVIDED
The following services are included for the duration of your Coaching Commitment, subject to your continued good standing:
• One (1) year access to the Fitness Coach Academy business development course curriculum — hosted on Kajabi
• Sixteen (16) weeks of coaching access and support — via Slack
• Group chat support Monday through Friday during business hours for the duration of the program (16 weeks) — via Slack, pursuant to Communication Policy
• At least twelve (12) sixty-minute live group video coaching calls per month, with recordings provided — via Zoom
• Sixteen (16) weekly client check-ins — via Loom and Slack
• Four (4) monthly private strategy calls with assigned Account Manager — via Zoom
• One (1) set of downloadable additional business development content (subject to change at Company's discretion) — via Kajabi
Communication Policy:
Response Time: Company will respond within 2 business days when documents are to be reviewed, during business hours.
Business Hours: 9:00 AM to 5:00 PM Central Standard Time, Monday through Friday.
Delay: Client agrees and understands that Company may take holidays and vacations throughout the year. Company will notify Client within 7 days of these time periods and parties will work together to ensure all services are completed and/or rescheduled accordingly.
Course Access: If paid in full, full course access is granted immediately. If on a payment plan, modules are released weekly over 14 weeks.
EXHIBIT B — CLIENT CODE OF CONDUCT
Late Policy: Client understands that if they arrive five (5) minutes late to a call, they forfeit that time. Calls will not go over the allotted time.
Termination: Termination communication shall only be submitted via email to support@taelerdehaes.com.
Integrity: Client agrees to provide truthful information to Taelered Training regarding the financial status of the Client's business and to provide the most updated information relevant to the Client's participation in the Coaching Services.
Effort: Client agrees to commit to providing reasonable effort and participation towards completing the tasks, requirements, assessments, and objectives of the Taelered Training program.
